The Zambia Forestry and Forest Industries Corporation Limited (ZAFFICO) is a parastatal organization responsible for establishing and managing exotic forest plantations in the country. The Corporation’s mission is to establish and sustainably manage forest plantations and supply quality wood and other forest products to its clients.
In pursuance of its mission, the Corporation is inviting applications from suitably qualified and experienced candidates for the under listed position:
1.0 CORPORATION SECRETARY (4 YEARS CONTRACT)
2.0 REPORTING TO THE MANAGING DIRECTOR AND BOARD OF DIRECTORS
2.1 JOB PURPOSE
To control and provide requisite co-ordination, guidance, direction, instruction and advice in the Legal, Administration and Security functions of the Corporation in order to achieve Corporation objectives efficiently and effectively.
2.2 MAIN DUTIES AND ACCOUNTABILITIES OF THE JOB HOLDER
Attend to all statutory requirements and obligations imposed on the Corporation in order to ensure legal compliance of all operations. Arrange for the Corporation’s affairs to be conducted within the Corporation’s Articles of Association and the policies of the Board of Directors. Prepare the Departmental budgets proposals for approval by the Managing Director and Management and monitors closely expenditure of the same through approving all requisitions to ensure it falls within appropriations. Formulate Legal and Administration policy proposals for approval by the Managing Director and Management and control the execution of the same to promote and maintain a conducive industrial climate and stability. Organize all Board, Sub Committees and other relevant Corporation Management Meetings. Prepare Agenda and Resolutions of such meetings for Directors and shareholders’ considerations, taking and circulation of minutes, maintenance of minute book for subsequent reference and record purposes. Advise Management and employees on matters of more complex nature in respect of labour laws and Collective Agreements. Check critically all contracts to ensure that they are drawn up in accordance with the Corporation policy and within the confines of the Laws of Zambia. Sign on behalf of the Corporation Corporate documents requiring execution under seal such as Agreements, Contracts and extracts of Board resolutions after necessary authorities have been obtained and be a custodian of such documents. Liaise with the Corporation’s lawyers through the Legal Counsel or personally on all legal matters affecting the Corporation. Oversee the administrative operations of the Corporation. Provide advice to the Board of Directors on all legislative matters and legal opinions. Assist the Chairperson of the Board and Managing Director to determine the annual Board plan and calendar of the Board and Committee meetings. To ensure compliance of the Board to Corporate Governance. 3.0 Requirements
- Strong understanding of corporate law and other relevant statutes
- Excellent organisational and leadership skills
- Excellent communication, interpersonal and presentation skills
- Strong adherence to Corporate Governance practices
- Traceable experience in writing Board minutes and resolutions
4.0 MINUMUMQUALIFICATION AND EXPERIENCE
Grade 12 School Certificate or its equivalent LLB degree & Advocate of the High Court of Zambia Chartered Institute of Secretaries & Administrators (ICSA) will be an added advantage Seven (7) years post qualifying hands-on experience in a senior management role Member of the Law Association of Zambia Sharing is Caring!
